ISO 42001 vs SDAIA Framework: How They Align in KSA

The question arrives, in some form, in almost every AI governance conversation across Saudi Arabia: do we need to pursue ISO 42001, or is alignment with the SDAIA framework enough? It is, on its surface, a reasonable question about compliance scope. It is also, on examination, the wrong question — because it assumes the two frameworks are alternatives when they are more accurately understood as different expressions of the same underlying governance logic.

ISO/IEC 42001:2023 is the first international management system standard for AI, published at the end of 2023. It provides a structured methodology for establishing, implementing, and continuously improving an AI Management System — a PDCA-based (Plan-Do-Check-Act) framework that organizations in any sector can use to govern their AI deployments. Like ISO 27001 before it, ISO 42001 is technology-neutral and globally applicable; it does not prescribe specific technical architectures but establishes the governance processes and controls that should surround them.

SDAIA's AI Governance Framework has a different character. It is nationally specific, grounded in Saudi regulatory authority, and connected to legal enforcement mechanisms through the Personal Data Protection Law. Its seven principles — fairness, accountability, transparency, explainability, privacy, safety, and human oversight — reflect both international AI governance consensus and the Kingdom's particular commitments to Islamic values and Vision 2030. Where ISO 42001 is voluntary and certification-focused, the SDAIA framework is, in regulated sectors, the baseline for operating legally.

For Saudi organizations, understanding where these frameworks align — and where they require distinct responses — is the foundation of an efficient compliance program. Implementing them as if they were separate systems is expensive and produces redundancy. Understanding their structural logic reveals they can be satisfied together.

Where the Frameworks Converge

The most significant overlap is in risk management. ISO 42001's Clause 6 requires organizations to identify risks associated with their AI systems, consider their impacts on individuals, society, and the environment, and take documented action in response. SDAIA's guidance, particularly through the PDPL's Data Protection Impact Assessment requirements for AI systems processing personal data, imposes substantially the same expectation. Both frameworks require organizations to categorize AI systems by risk level, implement appropriate controls, and maintain documentation of the assessment process. An organization that designs a single impact assessment template — structured to satisfy ISO 42001's risk management clauses while also addressing SDAIA's transparency, fairness, and privacy principles — eliminates what would otherwise be a duplicate process.

Transparency requirements run through both frameworks with similar intent. ISO 42001 requires organizations to disclose when AI is being used, explain system capabilities and limitations, and provide mechanisms for individuals to seek explanations for decisions that affect them. SDAIA's AI Ethics Guidelines state the same obligations in different language, emphasizing that individuals must be informed when interacting with AI systems and must have access to meaningful explanations for AI-driven decisions. The PDPL reinforces this for automated decision-making: individuals have specific rights to explanation that require organizations to build explanatory capability into their systems from the outset. The substance of what both frameworks demand is essentially identical, and the implementation required to satisfy one largely satisfies the other.

Human oversight provisions share the same philosophy. ISO 42001 Clause 5.3 requires clear assignment of accountability for AI system outcomes and meaningful human oversight mechanisms in high-risk contexts. SAMA's AI governance guidelines for the financial sector, which operate within the SDAIA framework, explicitly require human-in-the-loop controls for critical financial decisions. An organization establishing a governance committee with documented authority, clear role definitions for AI system owners, and formalized escalation procedures is simultaneously satisfying ISO 42001 and SDAIA oversight requirements — not running two parallel oversight processes.

Documentation requirements are perhaps the clearest area of alignment. Both frameworks require comprehensive records of AI system design, risk assessments, controls, and approvals. Both require that documentation be structured to support external review. The content demands are similar enough that a unified documentation system — with explicit traceability between AI systems, their impact assessments, risk treatments, and approval records — can satisfy both without duplication.

Where They Genuinely Differ

The most significant Saudi-specific element of the SDAIA framework is its grounding in Islamic values and Vision 2030 objectives. SDAIA's AI Ethics Principles are not merely aligned with international governance consensus — they are embedded in the Kingdom's legal and cultural context in ways that ISO 42001, by design, does not address. Sharia compliance considerations apply to AI systems in ways that have no counterpart in the international standard, particularly in financial products, healthcare, and consumer-facing services. Organizations in KSA must supplement ISO 42001's risk-based evaluation with explicit assessment of Islamic values alignment — not as a separate compliance process, but as an additional dimension within an otherwise unified framework.

Sector-specific requirements in Saudi Arabia go substantially beyond anything ISO 42001 addresses. SAMA's model risk management requirements for financial institutions, the Ministry of Health's clinical validation standards for healthcare AI, the NCA's cybersecurity controls for critical infrastructure — each adds an additional layer of regulatory obligation that builds on the SDAIA framework but extends further. ISO 42001 provides a general management system structure applicable across all sectors. Organizations in regulated Saudi sectors must extend that structure to accommodate obligations specific to their industry and regulatory context.

The enforcement mechanism is also genuinely different, and it matters operationally. ISO 42001 certification is obtained through third-party audits by accredited certification bodies; it is a voluntary credential that signals governance maturity to the market. The SDAIA framework, through the PDPL and sector regulations, has direct legal consequences for non-compliance. SAMA includes AI governance requirements in its supervisory examinations. The NCA's first AI-specific enforcement action in Q4 2025 demonstrated that regulatory penalties in this space are real and significant. An organization designing its governance program should understand that ISO 42001 alignment is an asset in market positioning and international partnerships, while SDAIA compliance is a legal baseline that cannot be substituted with certification.

Building a Program That Satisfies Both

The practical path to satisfying both frameworks simultaneously begins with governance structure. A single AI Governance Committee — with appropriate representation across legal, technical, business, and ethics functions — can hold accountability for compliance with both ISO 42001 and the SDAIA framework. The committee's charter should explicitly reference both, and its review processes should evaluate AI system decisions against both sets of requirements. This is not twice the governance overhead; it is the same oversight applied to a more complete picture of the obligations.

Policy documentation is the natural next leverage point. Rather than maintaining separate policy suites for international certification and national regulatory compliance, organizations can develop an integrated AI governance policy framework that incorporates SDAIA's AI Ethics Principles alongside ISO 42001's risk management requirements, includes explicit reference to Islamic values and Vision 2030 alignment, and maps documentation requirements to both frameworks simultaneously. The resulting framework is more comprehensive than either standard would require individually, and covers more of the actual governance ground.

The impact assessment process is where the practical efficiency of integration is most visible. A single assessment template — structured to address ISO 42001 risk management requirements, SDAIA ethics and transparency principles, PDPL Data Protection Impact Assessment requirements, and relevant sector-specific obligations — converts what would otherwise be three or four separate evaluation processes into one. Assessors trained on both frameworks can evaluate AI systems comprehensively in a single pass, producing documentation that satisfies multiple regulatory audiences.

Training benefits from integration in the same way. The question of whether to train staff on ISO 42001 or on SDAIA requirements assumes a separation that does not exist at the level of daily governance practice. The behaviors expected of people who build, operate, and oversee AI systems — documenting systems, assessing risks, escalating anomalies, protecting data subjects' rights — are substantially the same under both frameworks. Unified training that explains the organization's obligations under both frameworks simultaneously, focused on practical behavioral expectations rather than framework architecture, is more effective than separate programs that create conceptual separation where the underlying requirements align.

The gap that remains after integration is addressed is the Saudi-specific dimension: Sharia compliance evaluation, Vision 2030 alignment assessment, and sector-specific obligations from SAMA, MOH, or NCA. These are not accommodated by ISO 42001 and cannot be derived from it. They require deliberate additional attention within the unified governance structure — additional evaluation criteria in the impact assessment, additional representation in the governance committee, additional documentation standards for regulated sectors. An integrated program handles these additions cleanly because the underlying structure is already in place.

The organizations in Saudi Arabia that will navigate the coming period of active AI governance enforcement most effectively are those that have understood this: that two frameworks which appear to require duplicate effort are, in the areas that matter most, asking for the same thing. The efficiency of building one governance program rather than two is real. So is the comprehensiveness required to ensure that nothing in either framework falls through the gap between them.
